   MARKETPLACE

      The world’s aftermarket for laser toner cartridges is enormous, consuming over 100 million units annually, worth an estimated $10 billion. Although huge, this multi billion dollar marketplace has not yet seen the emergence of a dominant player.  The reason for this fragmentation of the marketplace is the difficulty that most remanufacturers and recyclers have had of maintaining product quality.

   BACKGROUND

      Most aftermarket toner cartridge companies are small operations who have focused on recycling existing (OEM) cartridges.    Refilling is inexpensive and technically easy, however, the original cartridges were not designed for refilling, thus the failure rate is high and print quality is low.   Typically, these companies have a few local customers, thus don’t produce sufficient revenue for growth.

      Other, more ambitious efforts have resulted in a few companies manufacturing their own compatible and refillable aftermarket cartridges. These have also been unsuccessful, suffering from severe product reliability problems.

   GROWTH PLAN

       In 1995, TONER SYSTEMS INTERNATIONAL will aggressively expand its sales and marketing presence across the United States and Canada and overseas to Latin America, South America, Europe and Australia.

      The North American marketing effort is aimed at large corporate buyers such as Insurance and Healthcare companies as well as Government users. Internationally, as the current crop of office printers ages, the OEM’s target the third world markets with reconditioned printers, greatly enhancing TSI’s international appeal.

   FINANCIAL PLAN

      In order to finance the expansion of TSI, management seeks to raise $5 million.   Funds will be used exclusively to increase inventory and fuel sales promotions.   As the Company has no debt, management is confident that the Company can profitably absorb this amount of capital.   Because TSI projects such high cash flows (once ongoing customer testing is completed), management feels that the Company may be suitable for convertible debt capitalization.
