BRIEFING: The following information is a brief extract from the Executive Summary of the Business Plan for Monogram International, Inc., and was written and produced by Fogleman, Rich & Rose, under contract from Company management.

      In early 1996, FRRC was contracted to write and produce the Company's original Business Plan, which was successfully used to expand the Company's lines of commercial credit.  In mid-1997, FRRC was again contracted to expand and update the Companys' Plan for internal corporate use as a "steering document" during a period of rapid expansion.  The Plan document contains significant amounts of confidential information.

      Monogram International, Inc. (the Company) is a Florida based corporation formed in 1970. The Company designs, develops, manufactures and markets a wide range of impulse gifts, toys and novelty items. The majority of the Company’s products are based upon popular licensed characters which the Company licenses from prominent entertainment companies such as The Walt Disney Company, Warner Brothers, William E. Carter and others. These licenses permit MPI to manufacture and market specific products based on characters and designs that already posses their own popular identity and attraction. The Company also designs and develops custom, private label specialty items for theme parks, corporate customers and resorts.

      Monogram’s broad range of products include key chains, magnets, lapel pins, stickers, drink-ware, spoons, banks, figurines, bags and visors. The Company also markets generic novelty items and souvenirs; infant and children’s apparel; and children’s hair-ware and accessories. In addition, Monogram recently expanded its product offerings by introducing a wide range of “action toys” such as, “wind-up”, “pull-back” and “touch and go” toys.
